Terms of use

The rules for using the services of UPCAMPO SISTEMAS LTDA (CNPJ 35.002.301/0001-39): what you can do, what each party is responsible for, and how UPí and the connector for AI assistants work. Questions: contato@upcampo.com.br.

This is a translation provided for convenience. In case of any discrepancy, the Portuguese version prevails.

These Terms of Use govern access to and use of the services offered by UPCAMPO SISTEMAS LTDA, registered under CNPJ No. 35.002.301/0001-39, hereinafter referred to simply as “upCampo”.

By accessing or using any of the services, you declare that you have read and agree to these Terms and to upCampo's Privacy Policy, which is part of them. If you use the services on behalf of a company or farm, you also declare that you are authorized to accept them on its behalf.

If there is a signed contract or commercial proposal between upCampo and the customer, what was agreed there prevails over these Terms wherever they differ.

1. Which services these Terms cover

These Terms apply to all upCampo services, collectively referred to as the “Services”:

the corporate website, at www.upcampo.com.br;

the management portal, at portal.upcampo.com.br;

the field app, listed in the app stores as Pragueiro upCampo;

the Help Center, at suporte.upcampo.com.br, and the API documentation;

the integration API, at api.upcampo.com.br;

UPí, upCampo's artificial intelligence, both on WhatsApp and in the connector that brings farm data into AI assistants such as Claude and ChatGPT.

2. Account, access and permissions

Access to the Services requires an upCampo account. Your login and password are personal and non-transferable: you are responsible for keeping them confidential and for everything done with them.

The customer company's administrator defines what each person can see and do, through the portal's access control. Permissions apply per farm and per subject, and the same control applies to the app, the API, UPí and the AI connector.

The registered WhatsApp number gives access to UPí on behalf of the user. If you change your number or lose your phone, notify the company administrator, who must update or remove the number from the registration.

If you suspect misuse of your account, change your password and notify upCampo at contato@upcampo.com.br.

When upCampo's support team needs to access the system to handle a support request, it uses its own user account, and the access is logged.

3. Farm data

Data entered in the Services (fields, seasons, scouting reports, work orders, inventory, fleet, rainfall, photos and other records) belongs to whoever contracts upCampo, who may view, correct and export it through the reports. upCampo processes it to provide the Services, in accordance with the Privacy Policy.

No customer data is used to train UPí.

The field app may be used free of charge on up to 100 hectares, without access to the portal.

You are responsible for the accuracy and correctness of what you enter. Wrong, incomplete or bad-faith information produces wrong reports and answers, and upCampo is not liable for the consequences.

4. What is not allowed

When using the Services, you agree not to:

attempt to access data, accounts or farms for which you have not been granted permission;

copy, resell, sublicense or make the Services available to third parties without upCampo's written authorization;

reverse engineer, decompile or attempt to extract the source code of the Services;

overload, interrupt or impair the operation of the Services, including through automation that exceeds normal use of the API or the connector;

use the Services for any illegal or fraudulent activity or any activity that violates third-party rights.

5. UPí, the connector for AI assistants and the API

UPí answers questions about farm data and records entries, on WhatsApp and, through the connector, inside AI assistants such as Claude and ChatGPT. The connector also answers questions about using the system with articles from the Help Center.

5.1. Responses generated by artificial intelligence may contain errors, omissions or inaccurate interpretations. They are meant as support: check in the portal any information that serves as the basis for agronomic, operational or financial decisions. The decision, and the responsibility for it, always rests with whoever makes it.

5.2. The connector only accesses the farms and subjects your upCampo account already has enabled. You authorize the connection on an upCampo screen, with your login, and you can revoke it at any time by removing the connector in the assistant.

5.3. Through the connector, five types of entries can be recorded: rainfall, fueling, field work order, work order execution and invoice receipt. Each entry depends on the corresponding permission on that farm and on your confirmation in the assistant before it is saved. You are responsible for the entries you confirm. The connector does not delete any data.

5.4. Claude, ChatGPT and other assistants are third-party services, contracted and used by you under each provider's terms and policies. What you write in the conversation and the responses the connector delivers to the assistant are also processed by that provider, and upCampo is not liable for the operation, availability or practices of those services.

5.5. The integration API follows the documentation published in the Help Center. The customer is responsible for safeguarding access keys and tokens and for everything done with them; if a leak is suspected, the customer must request their replacement at contato@upcampo.com.br.

5.6. UPí and the connector are part of upCampo's full platform (up.360), contracted under the commercial proposal.

6. Intellectual property

These Terms do not transfer to the user any intellectual property rights over the Services. The trademarks, software, algorithms, processes, documentation and other elements of the Services belong to upCampo, and copying, reproducing or disclosing them, in whole or in part, without prior written authorization is prohibited.

Improvements implemented based on a suggestion, request or problem report made by the user become part of the Services, with no obligation of compensation or payment.

7. Availability and changes to the Services

upCampo works to keep the Services available and secure, but does not guarantee uninterrupted or error-free operation. There may be interruptions for maintenance, updates or causes beyond its control.

The Services evolve: features may be added, changed or discontinued. Any change that materially affects what was contracted will be communicated to the customer with reasonable advance notice.

8. Limitation of liability

To the extent permitted by law, upCampo is not liable for:

decisions made based on information entered by the user or provided by the Services, including UPí's responses;

expected agricultural yield not achieved, lost profits, or the user's infrastructure and operating costs;

misuse of login and password due to the user's own lack of care, or access granted by the user or the company administrator to third parties;

failures, unavailability or practices of third-party services, such as internet providers, app stores and AI assistants;

malicious acts by third parties, unless negligent or deliberate conduct by upCampo is proven.

9. Suspension and termination

upCampo may suspend or deactivate the access of anyone who violates these Terms, the Privacy Policy or the law, or who puts other users, third-party data or the integrity of the Services at risk. Anyone whose access is suspended may contest the decision at contato@upcampo.com.br.

Once the contractual relationship ends, the customer's data is handled in accordance with the Privacy Policy and what was agreed in the contract.

10. Changes to these Terms

These Terms may be updated, mainly to reflect changes in the Services or in the law. The version in force is always the one published on this page, with the date of the last update. Relevant changes will be communicated to customers.

By continuing to use the Services after an update, you agree to the new version.

11. Governing law and jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil.

The courts of the judicial district of Cuiabá, State of Mato Grosso, are chosen to resolve any matter related to these Terms, without prejudice to the consumer's right to file suit in the courts of their domicile, where the law so provides.
